--- Sunrise Playsets, LLC Contract and Agreement ---
This Agreement made and entered on this 04/16/2021 (a copy of which has been furnished to Consumer as evidenced by Consumer's signature as it appears below), by and between Sunrise Playsets, LLC (or its successors or assigns) having its principal place of business at 417 East Treat Rd, Muldrow, OK 74948, in Sequoyah County, Oklahoma, hereinafter referred to as "Lessor", and {Name:188}, whose address is {Address (Street Address):32.1}, {Address (City):32.3}, {Address (State / Province):32.4} {Address (ZIP / Postal Code):32.5}, hereinafter referred to as "Consumer."
1. For and in consideration of the mutual covenants and agreements hereinafter set forth, Lessor hereby leases to Consumer and Consumer hereby leases from Lessor that certain playset and equipment described in paragraph 2 (b) hereof on the terms set forth herein.
2. The following information is hereby disclosed to the Consumer pursuant to applicable state and federal laws and constitute terms and conditions of this Agreement.
(a) This Lease/Purchase Agreement has a contractual minimum lease term of not less than five (5) months.
(b) The property subject to this Agreement is described as follows and is referred to as the "Leased Property": Inventory #: {Inventory Number:304}, {Playset Choice:297}, with options: {Playset Accessories:299}

Purchase Option, Early termination and other Terms.
If you make all of the scheduled lease payments on time, you may purchase the playset by exercising your purchase option for $100.00. You may purchase the playset at any time by paying the remaining balance of the original cash price, less {Early 36:307}{Early 48:306} of the principal amount of all lease payments made (excluding taxes, fees and other charges), plus sales tax on the remaining principal amount and the purchase option fee of _________. You have the option to return the building at any time after the initial five (5) months of the lease term without making any further payments and without further obligation, by paying the $100.00 disposition fee. This Agreement contains additional information on early termination, maintenance responsibilities, warranties, taxes, late charges, default charges, insurance, any security interest, if applicable, and other terms.
3. Cash Price. The cash price of the Leased Property is {Building Subtotal:67} plus applicable Sales Tax. Applicable sales tax rate/amount is indicated on the attached Sunrise Playsets, LLC Order Form.
4. New/Used. The Leased Property is: {Condition:302}
5. Taxes and Official Fees. Sales tax and the total payment amount may change to reflect sales tax rate changes enacted by governmental authorities. There are no licensing, registration or title fees or other official fees.
6. Damage. Consumer is responsible to make all payments under this Agreement or pay the cash price if the Leased Property is lost, stolen, damaged or destroyed, Lessor will not insure the Leased Property after delivery.
7. Condition/Warranty. Consumer shall maintain the Leased Property in good condition. Leased Property is warranted by Manufacturer against defects in materials and workmanship for one (1) year from the date of purchase. Leased Property is not warranted against misuse or abuse by Consumer or normal wear and tear.
Disclaimer of Warranty. LESSOR DISCLAIMS ANY AND ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTY OF MERCHANTABILITY AND IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
8. Alteration. Consumer shall not permit the Leased Property to be altered for the addition of equipment and accessories or the placing of signs thereon and shall not permit the leased property to be tied to or otherwise affixed to any real estate in such a manner that the same cannot be removed without damage to the Lease Property, unless authorized by Lessor in writing. Consumer shall not obstruct access to the Lease Property so as to prevent removal in the event of breach or termination of this Agreement.
9. Late and NSF Fees. Consumer agrees to pay a $25.00 fee for any checks returned due to insufficient funds and a late fee of $20.00 for any late payments. There is a five (5) day grace period for late payments. A late fee will be assessed for each payment not received within five (5) days after the due date. Late fees and NSF fees are not included in the total of payments stated above.
10. Security Deposit. At the time of signing this Agreement, Consumer shall pay to Lessor a refundable security deposit as indicated above to be held by Lessor as security for the performance of all terms of this Agreement. Such deposit (or such part thereof as has not been applied to remedy defaults of Consumer) shall be refunded, without interest, when all the obligations of the Consumer have been performed or discharged.
11. Termination. Consumer may terminate this Agreement before the end of the lease term without penalty by notifying Lessor and paying the $100.00 disposition fee. In that event, Consumer agrees to provide Lessor access to the Leased Property in the same condition it was on this date, normal wear and tear excepted.
12. Due on Termination. In the event of termination by Consumer, Consumer will owe Lessor any past-due lease payments and other charges accruing until the date Lessor is notified of the termination. If Consumer fails to make a timely lease payment, this Agreement may be terminated by Lessor at the option of Lessor.
13. Default and Reinstatement. If Consumer fails to make a timely payment, Consumer may cure such default by making the past due payments and paying any other amounts then due, including late fees, within five (5) days after the due date of the payment, and by providing Lessor access to the Leased Property within five (5) days, if the Lessor so requests. Nothing herein shall prevent Lessor from modifying payment obligations to allow Consumer to cure any default and extend payment terms to a future agreed upon date, provided that such modification is in writing and signed by the parties. If this Agreement is terminated by Consumer and the Leased Property is returned other than through judicial process, Consumer may reinstate this Agreement for a period of ten(10) days after the date of the return of the Leased Property. Upon reinstatement, the Lessor shall provide Consumer the same Leased Property or substitute property of comparable quality and condition and a redelivery fee may be charged at the option of Lessor.
14. Security Interest. Lessor retains a security interest in the Leased Property to the extent that Lessor may reclaim possession of the Leased Property upon default of the Consumer, in accordance with the terms hereof.
15. Location of Leased Property. The Leased Property shall be kept at the address indicated on the order form. It may not be moved from that address without the written consent of Lessor which shall not be unreasonably withheld. The Leased Property may only be moved by carriers authorized in writing by the Lessor.
16. Assignment. Consumer may not assign any of Consumer's rights or obligations hereunder to any third party without the written consent of Lessor which shall not be unreasonably withheld.
17. Access and Inspection. Lessor shall have the right to examine and inspect the Leased Property at all reasonable times. Right to Repossess. In the event of a breach by Consumer, Lessor shall have the right to take possession of the Leased Property, without demand or notice, wherever same may be located, without any court order or other process of law. Consumer hereby waives any and all damages occasioned by such taking of possession.
18. Acknowledgments. By executing this agreement, Consumer agrees that:
(a) Consumer has read and understands all three (3) pages of this Agreement.
(b) Consumer has been given a signed and legible copy with all blanks filled in.
(c) Consumer Hereby acknowledges that Lessor may assign this Agreement to a third party and agrees to remit.
(d) Consumer agrees that the laws of the state of Oklahoma, Lessor's home state, shall control the validity of, and the obligations created by, this Agreement. Consumer further agrees that jurisdiction and venue of any dispute shall be in Sequoyah County, Oklahoma.
All payments to such third party if so assigned, after receiving notice of assignment from Lessor.
19. Severability. In case one or more of the provisions of this Agreement should be found to be invalid, illegal, or unenforceable in any respect, the validity, legality, and enforceability of all remaining provisions contained here will not, in any way, be affected or impaired thereby.
20. Integration. This Agreement may be modified only by a further written agreement signed by the parties.
21. Incorporation. The attached Sunrise Playsets, LLC Order Form is incorporated herein by reference and made a part of this Agreement. In the event of any contradiction between such Order Form and this Agreement the terms of Agreement shall govern.
22. Indemnity. Consumer shall indemnify Lessor against, and hold Lessor harmless from any and all claims, actions, suits proceedings, cost, expenses, damages and liabilities, including reasonable attorney's fees and costs, arising out of, connected with, or resulting from Consumer's use of the Leased Property, including without limitation the manufacture, selection, delivery, possession use, operation, or return of the Leased Property.
23. Choice of Law. This Agreement shall be interpreted by the laws of the State of Oklahoma.
24. Forum Selection Clause. The parties hereby agree that any action or proceeding with respect to any claim arising out of or relating to this Lease/Purchase Agreement, whether in court or contract or at law or in equity, or based on any stature, regulation or other ground for relief, shall exclusively be brought in either the United States District Court for the Eastern District of Oklahoma or the District Court of Sequoyah County, Oklahoma (the "chosen courts") and, i) irrevocably submits to the exclusive jurisdiction of the chosen courts, ii) waives any objection to laying venue of any such action or proceeding in the chosen courts, iii) waives any objection that the chosen courts are an inconvenient forum or do not have jurisdiction over any party hereto and iv) the parties stipulate that there are sufficient contacts with the State of Oklahoma for Oklahoma to be the chose forum.
25. Ownership. The Lease Property is, and shall at all times be and remain until Consumer has fully performed under this Lease/Purchase Agreement, the sole and exclusive property of Lessor; and the Consumer shall have no right, title or interest therein or thereto except as expressly set forth in this Lease/Purchase Agreement.
26. The Lessor shall not be responsible for any accident due to misuse.
